  • Effectively and efficiently drafting and negotiating the necessary documentation, including stock purchase agreements, asset purchase agreements, merger agreements, ESOP documentation, employment agreements, indemnity agreements, non-competition agreements, earn-out agreements, consulting agreements, stockholders’ agreements and financing documentation
  • Closing transactions smoothly and efficiently
  • Handling various post-closing functions, including making regulatory filings, advising buyers on ongoing operational matters, and advising sellers on tax and estate planning strategies
